Role Summary

The Senior Corporate Development Manager is a core member of the Corporate Development and Capital Markets team and supports the origination, evaluation, structuring, negotiation, and execution of strategic transactions across mergers and acquisitions, minority investments, joint ventures, strategic partnerships, and selected capital markets and structured finance processes. The role is designed as an in-house transaction execution position with meaningful exposure to debt and equity transactions, commercial contract structuring, and cross-functional strategic initiatives.

This role will partner closely with the Deputy CFO, CEO, executive team and external advisors including banks, law firms, technical consultants and diligence providers. The role reports directly to the Deputy Chief Financial Officer and works closely with senior stakeholders on high-priority transactions and strategic projects.

 

Key Responsibilities

M&A and Strategic Transactions

  • Support the identification, screening, and assessment of acquisition, investment, joint venture, and strategic partnership opportunities aligned with corporate strategy. 
  • Assist in managing end-to-end transaction execution including preliminary evaluation, valuation analysis, non-binding offers, due diligence, negotiation support, signing, closing, and handover to integration teams.
  • Prepare board materials, transaction summaries, and decision-support analysis for senior management.
  • Coordinate internal and external due diligence work streams across financial, legal, tax, regulatory, technical and commercial matters, ensuring findings are synthesised into clear recommendations.

Capital Transactions

  • Assist in the structuring and execution of debt, structured equity, and other structured finance transactions, including support for lender and investor materials, financial analysis, process coordination, and advisor management.
  • Contribute to analysis of capital structure alternatives, covenant implications, transaction terms and funding options in partnership with treasury and finance teams.
  • Support transaction workstreams for corporate financings, project-level financings, private credit solutions, strategic capital partnerships, and other bespoke structures relevant to a high-growth AI infrastructure business.
  • Help maintain financing case materials, scenario analysis, and transaction timetables to support efficient execution across multiple concurrent processes.

Commercial Structuring and Negotiation Support

  • Support the commercial structuring of major customer, supply, infrastructure, and strategic partner contracts.
  • Assist in negotiation preparation and issue management for key commercial terms including pricing mechanisms, volume commitments, deal structures and consideration of financing and other commercial implications.
  • Work with legal and commercial stakeholders to ensure commercial positions are reflected accurately in transaction documents and that key risks are identified, escalated, and managed effectively.

Financial Modelling and Analytical Support

  • Build, maintain, and refine detailed transaction models for M&A, investments, joint ventures, commercial contracts, and financing transactions, including integrated operating models, valuation models, returns analysis, sensitivity cases, and downside scenarios.
  • Analyse transaction impacts on valuation, leverage, liquidity, earnings, covenant compliance, capital requirements, and strategic returns.
  • Maintain high analytical standards in model design, documentation, quality control, version management, and presentation of outputs to internal and external stakeholders.

Process Management and Stakeholder Coordination

  • Manage data rooms, work plans, advisers, diligence trackers, issue lists, and transaction calendars to ensure disciplined execution of live processes.
  • Act as a central coordination point across finance, legal, tax, treasury, operations, and business teams during live transactions.
  • Support the development of templates, approval frameworks, and post-deal review processes to improve repeatability and execution quality over time.

 

Skills, Experience & Attributes

Essential

  • 6-10 years of relevant experience in corporate development, investment banking, M&A advisory, private equity, infrastructure investing, leveraged finance, project finance, or strategic finance within high‑growth or capital‑intensive environments.
  • Demonstrated experience supporting live transactions, ideally across M&A and financings, with exposure to transaction processes, valuations, due diligence, and negotiation support.
  • Advanced financial modelling and valuation capability, including three-statement modelling, DCF, comparable companies, precedent transactions, LBO or returns analysis, and debt structure modelling.
  • Strong understanding of transaction execution mechanics, diligence processes, and adviser coordination.
  • Strong analytical, commercial, and communication skills.
  • Ownership mentality, able to operate in lean teams and fast-moving transaction environments.
  • Ability to operate in a fast‑paced, founder‑led, high‑growth environment.

Desirable

  • Experience in AI infrastructure, data centres, cloud, semiconductors, or technology infrastructure.
  • Experience presenting to executives, and boards.
  • Familiarity with energy markets, digital infrastructure, and large‑scale capex projects.
